01
To keep things simple, a few words are used throughout this document with a fixed meaning:
1.1
"Client," "you," and "your" refer to anyone visiting our Website or engaging DevMonks for development work.
1.2
"DevMonks," "we," "us," and "our" refer to DevMonks itself.
1.3
"Party" or "Parties" refers to either you or us, or both together, depending on the context.
1.4
"Services" refers to any development, engineering, or related digital work that DevMonks agrees to carry out for a Client.
1.5
"Deliverables" refers to the code, applications, websites, or other work product we produce as part of a project.
02
By browsing our Website, filling out a contact form, signing a proposal, or otherwise asking us to begin work on your behalf, you agree to be bound by everything written here, along with any separate contract or statement of work we may sign together for a specific project.
Where a signed agreement and these Terms disagree on a point, the signed agreement will take priority for that particular project. We may ask you to confirm your acceptance formally, for example through an e-signature on a proposal, before any paid work begins.
03
DevMonks offers custom software and web development services. Depending on what you need, this can include planning, building, testing, deploying, and supporting websites, web applications, and related digital products.
The exact scope of work for any project will be described in a separate proposal, quote, or statement of work, and that document will describe what is included and what is not.
We aim to be upfront about what is realistic within a given budget and timeline. If a request falls outside the agreed scope once a project is underway, we will flag it to you and discuss whether it should be treated as an addition to the project, with its own cost and timeline impact.

05
Development projects tend to go smoothly when both sides know what is expected of them. Here is what that generally looks like from our end and from yours.
What we ask of you as a Client:
5.1
Provide the information, content, access, and feedback we need at the points where the project calls for them.
5.2
Respond to our questions and review requests within a reasonable time, since delays on your side can push back the whole schedule.
5.3
Let us know early if your requirements or priorities shift, so we can adjust the plan together.
5.4
Make payments according to the schedule set out in your proposal or invoice.
5.5
Only give us access to systems, accounts, or data that you are authorized to share.
What you can expect from us:
5.6
Clear communication about progress, blockers, and anything that might affect timelines or cost.
5.7
Reasonable care and professional skill applied to the work we deliver.
5.8
Honesty about what is achievable, even when that means telling you something will take longer or cost more than initially hoped.
5.9
Protection of any confidential information you share with us, as described later in this document.
06
We will give you an estimated timeline for your project based on the scope agreed at the start. Please keep in mind that timelines are estimates, not guarantees, since development work can run into unexpected technical issues, and because delays on your end, such as late feedback or late content, can shift the schedule.
If you ask us to add features, redesign something already approved, or otherwise expand what was originally scoped, we will let you know how that affects the budget and timeline before we proceed.
We believe in agreeing on changes in writing, even if it is just a short email confirmation, so both sides have a clear record of what was decided.
07
Fees for our Services will be set out in a proposal, quote, or invoice specific to your project. Unless otherwise agreed, standard payment terms are as follows:
What we ask of you as a Client:
7.1
An upfront deposit may be required before work begins on a project.
7.2
Remaining fees are typically billed at agreed milestones or on a recurring basis for ongoing work, such as maintenance or retainers.
7.3
Invoices are due within the period stated on the invoice itself, and late payments may affect our ability to continue work or may attract a late fee, as noted in your agreement.
7.4
All fees are quoted exclusive of applicable taxes unless we say otherwise.
If payment is significantly overdue, we reserve the right to pause work on your project until the account is settled. We will always try to give you fair warning before doing so.
08
Ownership of intellectual property is one of the areas where clarity matters most, so we want to be specific here.
Until a project is paid for in full, DevMonks retains ownership of all code, designs, and other Deliverables created during the engagement. Once payment for a project is complete, ownership of the final agreed Deliverables transfers to you, the Client, except for the following, which DevMonks continues to own:
8.1
Any pre-existing tools, frameworks, libraries, or internal code that DevMonks brings into the project and that were not built specifically for you.
8.2
Any general knowledge, skills, or methods we use or develop while working on your project, so long as they do not reveal your confidential information.
8.3
Our own branding, portfolio materials, and marketing content, even where these reference or showcase work done for you, unless we have separately agreed otherwise.
We may ask your permission to feature completed projects in our portfolio, case studies, or marketing materials. If you would prefer we keep a project private, just let us know, and we will honor that request.
Separately, everything on the DevMonks Website itself, including its text, layout, graphics, and branding, belongs to DevMonks unless stated otherwise. You are welcome to browse and use the Website for your own personal or business reference, but without our prior written permission you may not do any of the following:
8.4
Sell, rent, or sublicense material taken from our Website.
8.5
Copy or reproduce content from the Website without authorization.
8.6
Republish anything from the Website elsewhere.
8.7
Redistribute Website content or materials in any form.
These restrictions apply from the moment you access the Website, whether or not you have read this far.
09
Development projects often rely on third-party software, platforms, plugins, or paid services, such as hosting providers, content management systems, payment gateways, or software libraries.
Where a project uses tools like these, the following applies:
9.1
Any licensing fees or subscription costs for third-party tools are the Client's responsibility unless we have agreed otherwise in writing.
9.2
DevMonks is not responsible for outages, bugs, price changes, or policy changes on the part of third-party providers, though we will do what we reasonably can to help you work around such issues.
9.3
Some third-party tools come with their own terms of service, and by choosing to use them as part of your project, you also agree to abide by those separate terms.
10
We often work with sensitive business information, credentials, and unreleased products, and we take that seriously. Any non-public information you share with us in connection with a project will be treated as confidential.
And we will not disclose it to third parties except:
10.1
Where needed to deliver the Services, for example, sharing limited access with a subcontractor bound by similar confidentiality terms.
10.2
Where required by law or a valid legal process.
10.3
Where you have permitted us to disclose it.
We would appreciate the same courtesy in return regarding any of our own proprietary methods, tools, or pricing that you may come across while working with us.
11
We put genuine effort and care into every project we take on, and we stand behind the quality of our work. That said, software development is rarely free of surprises.
So please understand the following:
11.1
We do not promise that any application or website we build will be completely free of bugs or interruptions, though we will work to fix issues that arise within any agreed support period.
11.2
We are not responsible for problems caused by changes you or a third party make to the Deliverables after handover, unless those changes were made by us under a maintenance agreement.
11.3
Our Services and Website are provided on an "as is" basis, without guarantees beyond those explicitly stated in a signed agreement with you.
12
To the extent allowed by law, DevMonks will not be responsible for indirect, incidental, or consequential losses arising from your use of our Website or our Services, including lost profits, lost data, or business interruption, except where such loss results from our own gross negligence or willful misconduct.
Where liability cannot be excluded entirely under applicable law, our total liability to you for any claim related to a project will be limited to the amount you actually paid us for that specific project.
13
Either of us may end an ongoing engagement by giving reasonable written notice, or as specified in a signed project agreement. If a project is ended partway through, you will be billed for work completed up to that point, and any Deliverables paid for in full will be handed over to you in line with the intellectual property terms above.
We reserve the right to pause or end a project if payments fall significantly behind schedule, or if we believe a Client is asking us to build something unlawful or harmful.
14
These Terms, and any dispute arising from your use of our Website or our services, will be governed by the laws of Bangladesh, without regard to conflict of law principles. Where a separate signed agreement for a specific project states a different governing law, that agreement will apply for that project instead.
15
We may update these Terms and Conditions from time to time to reflect changes in our services or in the law. When we do, we will post the revised version here and update the Last updated date at the top. For meaningful changes, we will try to let existing Clients know directly, though we would still encourage you to check back here occasionally.
Continuing to use our Website or our Services after an update has been posted means you accept the revised Terms.

Thank you for considering DevMonks for your next project. We look forward to building something good together.
